Terms for using
Sanctum.

The short version

These draft terms describe the intended agreement between you and Built In Space LLC for Sanctum's website, accounts, cloud services, and purchases. They are published for review and are not yet effective legal terms. Sanctum is intended for United States availability at launch.

Your notes and local files are yours. Built In Space LLC does not claim ownership of them.

Recording, playback, on-device transcription, search, editing, organization, sharing, and export use files on your device. They do not require an account or payment.

Sanctum sells optional cloud analysis and includes Private Backup with a subscription. It does not sell access to your own files.

The practical terms

Your files

Your recordings, transcripts, synthesized notes, and exported files remain yours when you stop using Sanctum. The app does not need an account to keep those files useful.

Cloud services

A guest can try cloud analysis without creating a full account. More analysis, purchases, Private Backup, and in-app feedback require an account. Cloud work can be unavailable or wrong, so review the result before relying on it.

Purchases

Apple handles payment, renewal, cancellation, and refund requests. Deleting a Sanctum account does not cancel an App Store subscription, and it permanently forfeits unused minutes. It does not delete the notes on your device.

Apple's EULA and these terms

The Sanctum iOS app is licensed under Apple's Standard Licensed Application End User License Agreement, linked above. That agreement covers the app license and the content and services reached or purchased inside the app.

These draft terms are intended to apply separately to your relationship with Built In Space LLC when you use Sanctum's website, account, cloud analysis, Private Backup, or purchase-backed services. The exact legal boundary between the two agreements and the way a user accepts these separate terms still require qualified legal review.

Who can use Sanctum

You may use Sanctum for lawful personal or professional work. You are responsible for the material you record and for following the consent, privacy, copyright, employment, and recording laws that apply to you.

Sanctum is not intended for children under 13. If you are not old enough to make a binding agreement where you live, a parent or legal guardian must approve your use. The final age rule still requires qualified legal review.

Your content and our permission

You keep your rights in your recordings, transcripts, edits, synthesized note files, and exports. Built In Space LLC does not claim ownership of that content.

When you choose cloud analysis, you give Built In Space LLC and the processors named in the Privacy Policy permission to handle the selected audio or text only as needed to perform that request. When you turn on Private Backup, you give us permission to store and return the encrypted backup. The Privacy Policy explains who receives data and how long it is kept.

You may send product feedback or suggestions. Built In Space LLC may use the suggestion itself without an obligation to adopt or pay for it. A note or attachment sent with feedback remains your content and is handled as described in the Privacy Policy.

Guests, accounts, and free minutes

A guest receives an 11-minute cloud-analysis trial. Sanctum creates an anonymous identity to meter that trial and help prevent repeated free trials.

If you turn that guest session into an account, Sanctum adds 33 complimentary minutes to the trial minutes you have left. A new account created without a guest session receives 33 complimentary minutes. Trial and complimentary minutes do not expire while the account exists.

Purchases, Private Backup, and in-app feedback require a full account. Minute balances belong to that account or guest session, have no cash value, and cannot currently be transferred between accounts.

Plans, top-ups, and Private Backup

Cloud Forward includes 1,200 cloud-analysis minutes each month. Local Forward includes 111 synthesis minutes each month for notes transcribed on the device. Both subscriptions include Private Backup during an active subscription period.

Monthly subscription minutes reset at the start of each subscription period and do not roll over. A 600-minute top-up is a one-time consumable purchase. Top-up minutes stack and do not expire while the account exists. If an offer changes, the purchase screen will show the current price, period, and allowance before you buy.

Subscriptions renew automatically unless you cancel them through Apple. Apple handles billing, subscription management, cancellation, and refund requests under its rules. Deleting a Sanctum account and cancelling an App Store subscription are separate actions.

If a subscription ends, Sanctum pauses new Private Backup uploads. You can still restore or delete the backup already stored for your account.

How analysis minutes are used

Cloud transcription uses one analysis minute for each minute of audio. The first synthesis of that cloud transcript is included.

The first synthesis of audio transcribed on your device uses half an analysis minute for each minute of audio. Each note includes three free re-syntheses over its lifetime. After those are used, another synthesis uses half of the note's full audio duration.

You need a positive minute balance to start paid analysis. A provider step that fails before producing its result is not charged. A completed transcription may remain and be charged if a later synthesis step fails. A job that starts with a positive balance may finish after using the remaining balance, but Sanctum does not record a negative balance.

Deleting an account or ending use

You may stop using Sanctum at any time. The recordings, transcripts, notes, and exports on your device remain there until you remove them.

Deleting an account removes its Private Backup, feedback, purchase profile, authentication data, and analysis ledger as described in the Privacy Policy. It permanently forfeits every unused trial, complimentary, gifted, subscription, and top-up minute.

Deleting an account does not cancel an active App Store subscription. Cancel the subscription separately in Sanctum's Plan screen or through Apple's App Store subscription settings.

Built In Space LLC may suspend access to cloud services for abuse, security risk, or a legal requirement. A cloud suspension does not give us control of the local files on your device.

Acceptable use and service limits

Do not use Sanctum to break the law, infringe another person's rights, avoid consent requirements, distribute malware, abuse paid processing, interfere with the service, or try to access another person's account, backup, or private content.

Cloud analysis and Private Backup depend on networks and outside services. They may be delayed, interrupted, changed, or unavailable. Keep another copy of material you cannot replace. Your local files remain the source of truth.

Transcripts and synthesized notes can be incomplete or wrong. Check the recording or source text before using an output for an important decision.

Legal review, changes, and contact

Apple's Standard EULA contains the warranty and liability terms for the licensed iOS app. The warranty, remedy, and liability terms for Built In Space LLC's separate website, account, cloud, backup, and purchase-backed services still require qualified legal review. This draft does not invent a damages cap before that review.

These terms are intended to use New York law and the state or federal courts located in New York, New York. This draft has no arbitration agreement or class-action waiver. Qualified counsel still needs to confirm the governing-law and court terms.

We will post a new date when these terms change. The notice and acceptance process for later changes is not finalized.
